Terms of Service

These Terms of Service ("Terms") are an agreement between you and Healey AI LLC ("Saypath," "we," "us") governing your use of the Saypath iOS app and the saypath.app website (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use Saypath. By using the Service, you represent that you are 18 or older and legally able to enter into this agreement.

2. Your account

You are responsible for your account credentials and for everything that happens under your account. Keep your sign-in information secure and tell us promptly at support@saypath.app if you suspect unauthorized access. You may delete your account at any time from within the app.

3. The Service

Saypath lets you record short speaking practice sessions and gives you feedback on measurable qualities of your speech, such as filler words, pace, and pauses. We may add, change, or remove features over time, and we may suspend or discontinue the Service in whole or in part. We will make reasonable efforts to give notice of material changes.

4. Not professional advice

Saypath provides informational feedback about speech patterns for practice purposes. It is not medical, psychological, therapeutic, or other professional advice, and it is not a diagnostic tool. If you have concerns about a speech, language, or health condition, consult a qualified professional.

5. Your content

You own your recordings, transcripts, and statistics ("Your Content"). You grant us a limited license to host, store, transmit, transcribe, and process Your Content solely to operate and provide the Service to you, consistent with our Privacy Policy. This license ends when Your Content is deleted. You are responsible for what you record; do not record other people without their consent.

Saypath is currently free. We may introduce paid features or subscriptions in the future. If we do, pricing and billing terms will be presented before you pay, and purchases made in the iOS app will be billed through your Apple account subject to Apple's terms.

8. Intellectual property

The Service, including its software, design, branding, and content we create (excluding Your Content), belongs to Healey AI LLC and its licensors. We grant you a personal, non-exclusive, non-transferable, revocable license to use the app on Apple-branded devices you own or control, as permitted by the App Store terms. Feedback and suggestions you send us may be used without obligation to you.

9. Termination

You may stop using the Service or delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe your use poses a risk to the Service or other users. Sections that by their nature should survive termination (including Sections 4, 5 in respect of prior processing, and 10 through 13) survive.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT TRANSCRIPTIONS AND METRICS WILL BE ACCURATE OR COMPLETE.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HEALEY AI LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF FIFTY US DOLLARS ($50) OR THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.

You agree to indemnify and hold harmless Healey AI LLC from claims, damages, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.

13. Governing law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law rules. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in North Carolina, and you consent to their jurisdiction.

14. Apple App Store terms

These Terms are between you and Healey AI LLC, not Apple. Apple has no obligation to provide maintenance or support for the app and is not responsible for addressing claims relating to it, including product liability, regulatory compliance, or intellectual property claims. In the event the app fails to conform to an applicable warranty, you may notify Apple and Apple will refund any purchase price paid for the app; to the maximum extent permitted by law, Apple has no other warranty obligation. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that you are not located in a country subject to a US government embargo and are not on any US government restricted-party list.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update this page, note the new date above, and where appropriate notify you in the app. Continuing to use the Service after changes take effect means you accept the updated Terms.
